Private equity advocates argue that their success stems from the fact that they find good companies, add talented management, set up the proper incentive structure and implement a plan to maximize the value of the enterprise. In what follows, we concede the good company argument. We are going to focus on the impact that tax treatment, credit availability and the compensation scheme have on the private equity strategy.
